AREAS OF EXPERTISE - One or More Preferred!
Handle all periodic SEC filings and advise management on changes in SEC regulations.
Review, provide legal opinions on, draft and negotiate product purchase and sale agreements, sales representative and distributor agreements, construction contracts and leases, miscellaneous agreements.
Draft employee benefit plan amendments and review summary plan descriptions (ERISA), advise on plan interpretation and administration issues.
Draft minutes for CTS and subsidiaries, draft instruments for inter-company transactions, prepare state corporate filings.
Advise corporate finance on a variety of issues.
Requirements
Juris Doctor Degree with at least 10 years of applicable experience. Indiana Bar Membership. Experience working with SEC and ERISA matters highly preferred. Excellent communication and presentations skills.
